PART 2 – IMPORTANT INFORMATION ABOUT WISE SMART PHONES

Section 1 – What Wise Smart Phones Does

Wise Smart Phones provides a service that allows users to sell their used electronics to us at competitive prices. Users can describe their devices (including iPhones, iPads, Macs, AirPods, Displays, or Apple Watches) via the website. Once we receive the device details, we provide a quote. Upon acceptance of the quote, we issue a free shipping label for the device to be sent to us within 30 days. After verifying the condition of the device, payment is issued to the user’s provided account via PayPal or Bank Transfer.

Section 2 – Intellectual Property and Copyrights

All content displayed, featured, or available on the website—including, but not limited to, text, graphics, videos, images, and trademarks—is owned by Wise Smart Phones, its parent company, associates, licensors, or content providers. This content is protected by copyright, trademark, and other applicable laws. Unauthorized use, reproduction, modification, or distribution is strictly prohibited without prior written consent from Wise Smart Phones. Violators may face legal action and penalties.

Section 3 – International Use

We do not guarantee the availability or applicability of our services outside the United States. Users accessing the website from other jurisdictions do so at their own risk and are responsible for compliance with local laws.

PART 3 – USING THE SERVICES

Section 1 – Account Registration

Visitors can browse the website without creating an account. However, registering an account is mandatory for using our services to complete transactions. During registration, users must provide accurate and current information, including name, phone number, email address, and shipping address. Users agree to update their information as needed. Only individuals aged 18 and above are permitted to create accounts and engage in transactions. Users are responsible for maintaining the confidentiality of their account details and are liable for all transactions made under their account. If unauthorized use is suspected, users must notify us immediately.

Section 2 – Your Representations

By using this website, you represent and warrant that:

You are at least 18 years old.
You have the legal capacity to enter into binding contracts.

You comply with these Terms and Conditions.
The device you are selling is your property, free of encumbrances or liens.

Section 3 – How to Sell Your Device

Selling your device is simple:

Get an offer: Find your device on our website, select its condition, and accept our instant offer.
Ship your device: Use our free, trackable shipping label to send us the device.
Get paid: Receive payment after our inspection is complete.

Section 4 – User-Provided Content

Any content shared on the website, including comments or ideas, is deemed non-confidential and non-proprietary. Wise Smart Phones reserves the right to use such content for any purpose without compensation or acknowledgment to the user.

Section 5 – Acceptable Use of the Website

Users must not:

Section 6 – Disputes

Disputes arising from the use of the website will be resolved individually and not through class actions.

Section 7 – Governing Law

These Terms and Conditions are governed by U.S. law, and disputes will be resolved in U.S. courts.

PART 6 – PRODUCT INSPECTION

Offer Recalculation. Your Product must be received by Wise Smart Phones within thirty (30) days after you accept the original offer provided by Wise Smart Phones and complete the checkout process on the Wise Smart Phones Website (the "Delivery Period") or the offer shall automatically expire. Packing and shipping recommendations provided to you by Wise Smart Phones should be followed in order to avoid possible damage to or loss of the Product in transit. Wise Smart Phones will inspect all Products that are received. Wise Smart Phones has the option to accept or reject the Product, including without limitation, to reject any Product not conforming to the description you provided to us, any Product modified in such a way that it no longer conforms to the original factory specifications, any Product no longer complying with applicable laws or regulations (e.g., FCC rules, etc.) and/or any Product damaged or lost in transit. If Wise Smart Phones rejects the Product for any of these reasons, the original offer automatically expires and is rescinded. Wise Smart Phones reserves the right to revoke the original offer and provide a revised offer for the Product if: (a) the Product and/or materials are not as described, (b) the Product is received by Wise Smart Phones after the Delivery Period, and/or (c) Wise Smart Phones receives Product(s) that are different from those identified when your offer was calculated.

PART 7 – RECALCULATED PRODUCT OFFERS AFTER INSPECTION

In the event Wise Smart Phones recalculates the offer it provided for the Product after it has been received and inspected, as described above, you shall have the option of accepting or rejecting the new offer. If you accept the new offer, you will be paid in normal course and in accordance with these service terms. If you reject the new offer, Wise Smart Phones will return the Product “at your own expense” to you at the address from which it was originally sent. Wise Smart Phones will give you a period of three (3) days after Wise Smart Phones presents you with a recalculated offer via email at the address you provided to accept or reject the new offer (the "New Offer Period"). Wise Smart Phones will also remind you of the outstanding new offer one or more times during the New Offer Period. However, if the new offer is neither affirmatively accepted nor rejected by you during the New Offer Period, the new offer will be deemed to have been accepted by you and you will be paid the new offer price in the normal course and in accordance with these service terms. For the avoidance of doubt, your acceptance of the original offer and/or any new offer is final and you may not change your mind later about accepting such offer.

PART 8 – RELEASING RIGHTS TO PRODUCTS

Once you send Wise Smart Phones your Product, Wise Smart Phones cannot and does not guarantee that it will be able to honor any request for return of the Product and/or any data or information contained in such Product. Of course, if Wise Smart Phones rejects the Product or you do not accept any new offer for the Product pursuant to Sections 9 and 10 ("Return Circumstances"), your Product will be returned to you as set forth in Sections 9 and 10.

PART 9 – PASSING OF TITLE

Title to the applicable Product passes to Wise Smart Phones upon Wise Smart Phones’s acceptance of the Product for the original offer or the new offer, as applicable. If there is a Return Circumstance, title shall not pass and shall remain with you.

PART 10 – NON-TRANSFERABLE

Any offer by Wise Smart Phones for your Product is non-transferable and not redeemable for any other consideration other than what is offered by Wise Smart Phones.

PART 11 – IMPORT AND EXPORT LAWS

You agree to comply fully with all import and export laws, regulations, rules and orders of the United States, or any foreign government agency or authority, and that you will not directly or indirectly transfer your Product without proper authorization from the U.S. and/or foreign government. You bear responsibility for and assume all expenses relating to your compliance with the described laws, regulations, rules and orders, and for obtaining all necessary authorizations and clearances in order to convey your Product to Wise Smart Phones, including without limitation, valuation, classification and duties applicable with the import of any goods. Please note: U.S. trade sanctions administered by the Office of Foreign Assets Control (OFAC) generally prohibit the importation into the United States (including U.S. territories), either directly or indirectly, of most goods, technology, or services (except information and informational materials) from, or which originated from Cuba, Iran, Iraq, Libya, North Korea, Serbia, or Sudan; from foreign persons designated by the Secretary of State as having promoted the proliferation of weapons of mass destruction; named Foreign Terrorist Organizations; designated terrorists and narcotics traffickers. You may not offer or provide to Wise Smart Phones for sale, any Products that would violate the provisions of this Section 15.

PART 12 – PROMOTIONS

From time to time, and at Wise Smart Phones’s sole discretion, Wise Smart Phones may offer promotional programs as an incentive to customers. Promotions applicable to payments are applied as an increment to the final value of a customer's Product, but they are not considered a change in that final value. Promotional programs have explicitly defined terms, including but not limited to, expiration, usage per person and per transaction, and other limitations and restrictions. Unless otherwise stated, promotions must be applied by you before checkout. For the avoidance of doubt, once checkout is completed, promotions cannot be applied to the same transaction. Wise Smart Phones reserves the right, in its sole discretion, to cancel or refuse promotions.

PART 13 – ACCURACY OF ALL INFORMATIONS

Wise Smart Phones makes every effort to ensure the accuracy of all information you receive in relation to your Product. From time to time, however, there may be typographical errors, technical inaccuracies, pricing or other errors or omissions. As such, Wise Smart Phones reserves the right, at any time prior to payment, to:

(a) Correct an error.
(b) Change the offer. In the event the Product has already been sent to Wise Smart Phones, the changed offer will become a New Offer subject to the processes set forth in Section 9 and Section 10. Otherwise, the changed offer will be a re-issued original offer, which you may accept or reject.
(c) Void a transaction. If the Product was already sent to Wise Smart Phones, Wise Smart Phones will be deemed to have rejected the Product resulting in a Return Circumstance subject to Section 11.

PART 14 – PRIVACY

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages. The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number. To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
